1. Acceptance of Terms

By accessing, browsing, using, or simply being present on Card Club (the "Service"), operated by Leroy House Labs LLC ("Company", "we", "us"), you ("User", "you") agree to be bound by these Terms & Conditions, our Privacy Policy, and any future modifications — regardless of whether you create an account or not. Merely visiting the website or opening the app constitutes full and unconditional acceptance of these Terms. If you do not agree, do not access or use the Service in any way. We may update these Terms at any time and your continued use constitutes acceptance.

2. Eligibility & Account

You must be at least 18 years old. You are responsible for all activity on your account, the accuracy of any information you submit, and maintaining the confidentiality of your credentials. We may suspend, restrict, or terminate any account at our sole discretion, with or without cause or notice.

3. Data Ownership & License

You grant Leroy House Labs LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to host, store, use, copy, reproduce, modify, adapt, translate, create derivative works of, publicly display, publicly perform, distribute, sell, monetize, anonymize, aggregate, and otherwise commercially exploit any and all content, data, images, card listings, offers, messages, leads, contacts, transaction history, usage data, device data, and any other information you upload, generate, transmit, or otherwise make available through the Service ("User Data"), in any media now known or later developed, for any purpose whatsoever, including without limitation training of machine learning models, resale to third parties, marketing, advertising, analytics, and any other commercial use, without any obligation to compensate you.

To the maximum extent permitted by law, you irrevocably waive any moral rights, rights of publicity, rights of attribution, and any similar rights in User Data that would otherwise prevent the uses described above. This license survives termination of your account and these Terms.

Leroy House Labs LLC owns all rights, title, and interest in the Service, including all intellectual property, software, design, branding, derivative works, aggregated data, and analytics derived from User Data.

4. Acceptable Use

You will not: (a) use the Service to violate any law; (b) harass, defame, or harm any other user; (c) submit fraudulent, misleading, or stolen card listings; (d) scrape, reverse engineer, or build a competing product using the Service; (e) attempt to circumvent security, access controls, or rate limits; (f) impersonate another person or entity. We may remove content and terminate accounts that violate this section without notice.

5. Transactions Happen Outside the App — We Are Not a Marketplace

Card Club is a community platform that helps card people find other card people. It is functionally equivalent to a forum, Facebook group, Discord, subreddit, Craigslist, or the aisle of a card show — just easier to use. Every transaction occurs entirely off-platform, directly between the users involved. We do not process payments, hold funds, escrow anything, ship items, inspect cards, authenticate cards, grade cards, verify ownership, verify identity, verify age, run background checks, or guarantee that any user is who they say they are. We are not a party to any deal and we do not endorse, vet, or vouch for any user, listing, offer, price, comp, or message that appears on the Service.

All offers, negotiations, payments, shipping, returns, refunds, taxes, sales tax collection, 1099 reporting, chargebacks, fraud, theft, loss, damage, and disputes are solely the responsibility of the users involved. You agree to conduct your own due diligence before sending money, cards, or personal information to anyone you meet through the Service. Using Card Club is no different from using Facebook Marketplace, Craigslist, a Reddit forum, or meeting someone at a card show — we simply provide the space for you to connect. We do not guarantee, insure, or stand behind any deal.

5a. Offers, Acceptances, and Deals on the Platform Create No Liability for Us

An offer made on Card Club, an acceptance of an offer, a counter-offer, a message saying "deal," a handshake emoji, a verbal agreement referenced in a message, or any other form of communication between users on the Service does NOT create any contract, obligation, or liability on the part of Leroy House Labs LLC. These communications are solely between the users involved. We are not privy to, party to, or bound by any agreement you make with another user, regardless of how that agreement is expressed or where it takes place.

If you make an offer on Card Club and the other party accepts it, that acceptance is an agreement between you and that other user only. If either party then backs out, fails to pay, fails to ship, sends a counterfeit card, sends a damaged card, sends nothing at all, disappears, ghosts, or otherwise fails to honor the agreement, your recourse is exclusively against that other user — not against Leroy House Labs LLC. We have no ability to enforce deals, recover money or cards, or compel any user to follow through on an offer, acceptance, or agreement. We will not mediate disputes, issue refunds, or take sides.

We expressly disclaim any and all liability for: (a) the failure of any user to honor an offer, acceptance, or agreement; (b) the quality, condition, authenticity, or value of any card or item; (c) the truthfulness, accuracy, or completeness of any listing, description, grade, photo, or claim made by any user; (d) the solvency, creditworthiness, or reliability of any user; (e) the outcome of any negotiation, deal, payment, shipment, or in-person meeting; (f) any loss you suffer because another user backed out of a deal, even after you believed it was finalized on the Service. No amount of messaging, offer-making, or acceptance on Card Club transforms us into a party to your deal or creates any duty of care owed by us to you.

5b. Fraud, Fake Accounts, Bad Deals & User-to-User Harm

You acknowledge and agree that Leroy House Labs LLC has zero responsibility and zero liability for any of the following, whether caused by another user, a third party, or anyone purporting to be a user: (a) fraud, scams, confidence schemes, or theft of money, cards, or data; (b) fake, duplicate, bot, impersonation, or stolen-identity accounts; (c) counterfeit, altered, trimmed, recolored, restored, reprint, or misrepresented cards; (d) inaccurate condition, grade, authenticity, provenance, ownership, or value claims; (e) non-payment, partial payment, bounced payment, reversed payment, or chargebacks; (f) failure to ship, late shipping, lost packages, damaged packages, or items not as described; (g) no-shows, ghosting, cancellations, or refusals to honor an offer; (h) bad deals, buyer's remorse, regret, or feeling you overpaid or undersold; (i) harassment, threats, doxxing, stalking, assault, or any harm caused by another user online or in person; (j) any meet-up, in-person transaction, or interaction at a card show or elsewhere; (k) any tax, regulatory, or reporting obligation arising from your transactions. If something goes wrong with another user, your recourse is with that user (and law enforcement if warranted) — not with Leroy House Labs LLC.

You may report bad actors to us and we may, at our sole discretion, suspend accounts — but we have no duty to police the Service, investigate users, mediate disputes, recover funds or cards, refund anything, or take any action whatsoever.

6. Subscriptions, Show Passes & Data Retention

Show Passes are one-time purchases that activate the moment your payment clears. Local Show Pass = 24 hours, Big Show Pass = 72 hours, Show Boss Pass = 168 hours (7 days). When the timer hits zero, the system automatically shuts the pass down and a new pass must be purchased to continue. Show passes do not auto-renew.

Show Pass data retention: Deals closed and offers exchanged on a show pass are retained in your account indefinitely. Buyer contact information collected during the pass is permanently deleted when the pass expires. To retain buyer CRM data long-term, purchase a monthly subscription.

Monthly subscriptions are billed annually upfront on a 12-month (365-day) commitment from the date of first payment and are non-refundable. Full CRM access — including all collected buyer data — is retained for the entire 365-day term. We will send renewal reminders by email and in-app message at approximately 90, 60, and 30 days prior to expiration; failure to receive a reminder does not extend your subscription. All sales are final and non-refundable. You authorize us and our payment processor to charge your stored payment method for any fees due. Failure to pay may result in suspension or termination.

7. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, uptime, or that comp values, suggestions, or any other output is correct. You use the Service entirely at your own risk.

8. Limitation of Liability

To the maximum extent permitted by law, Leroy House Labs LLC and its officers, directors, members, employees, contractors, affiliates, and licensors shall not be liable to you or to any third party for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, cards, money, goodwill, reputation, or business opportunity, arising out of or in any way connected with (i) the Service, (ii) any interaction, communication, deal, payment, shipment, or in-person meeting with another user, (iii) any fraud, fake account, counterfeit card, scam, theft, or bad deal, (iv) any content posted by users, (v) any downtime, bug, error, or inaccurate information, or (vi) any other matter relating to the Service — even if we have been advised of the possibility of such damages. Our total aggregate liability for any and all claims shall not exceed the greater of (a) the amount you paid Card Club in the 12 months preceding the claim, or (b) US$50. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Leroy House Labs LLC and its officers, directors, members, employees, contractors, affiliates, and agents from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (a) your use of the Service; (b) your User Data; (c) your violation of these Terms or any law; (d) your violation of any third-party right; (e) any transaction, deal, payment, shipment, communication, meet-up, or dispute between you and any other user; and (f) any claim that another user defrauded you, sold you a counterfeit or misrepresented card, failed to pay or deliver, or otherwise caused you harm.

10. Termination

We may suspend or terminate your access at any time, for any reason, with or without notice. Upon termination, your right to use the Service ceases immediately, but our license to your User Data, our limitations of liability, your indemnification obligations, and these Terms generally survive.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Any dispute shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association in Delaware. You waive any right to a jury trial and to participate in any class action.

12. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leroy House Labs LLC and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force.
